Terms governing the use of PROOF services, products, creative development offerings, and website operated by ProofLab, LLC.

These Terms & Conditions (“Terms”) govern the use of the PROOF website, products, services, and related offerings operated by ProofLab, LLC (“PROOF,” “ProofLab,” “we,” “our,” or “us”).
By accessing this website, purchasing services, submitting materials, or engaging with PROOF, you agree to these Terms.
PROOF provides cinematic creative development services, cinematic proof-of-concept assets, visual storytelling materials, development consultation, and related creative services for filmmakers, creators, and entertainment projects.
Services may include development sessions, creative consultation, visual concept production, cinematic presentation assets, pitch materials, narrative refinement, collaborative feedback processes, and proof-of-concept production.
Creative work is inherently subjective and collaborative in nature.
By purchasing services from PROOF, you acknowledge that creative direction, tone, pacing, visual execution, storytelling approaches, editing choices, cinematic interpretation, and creative strategy may evolve throughout the development process.
PROOF does not guarantee financing, distribution, commercial success, audience growth, packaging outcomes, representation, attachment opportunities, investment results, platform placement, or production greenlights.
You represent and warrant that you own or control all necessary rights to any materials submitted to PROOF, including scripts, treatments, pitch decks, concepts, visual references, images, audio, video, written materials, and other uploaded content.
You grant PROOF permission to review, store, process, modify, and use submitted materials solely for purposes related to creative collaboration, development, production, presentation, and delivery of requested services.
Except where otherwise agreed in writing, clients retain ownership of their original submitted materials and underlying intellectual property.
PROOF retains ownership of its proprietary workflows, creative systems, development methodologies, internal processes, templates, editing structures, presentation frameworks, production techniques, and operational tools used during the creative process unless otherwise expressly transferred in writing.
Unless explicitly agreed in writing, raw project files, editable source files, production assets, working files, project timelines, layered design files, editing sessions, and internal production materials are not included as part of standard deliverables.
You acknowledge that PROOF, its affiliates, partners, contractors, collaborators, associated production entities, creative personnel, and related companies may currently be developing, producing, financing, discussing, evaluating, or acquiring projects, concepts, stories, characters, visuals, themes, formats, marketing materials, or creative works that may contain similarities to materials submitted by you.
By voluntarily submitting materials to PROOF, you acknowledge and agree that similarities between submitted materials and independent works may occur and do not, by themselves, establish copying, improper access, unlawful use, infringement, misappropriation, or any entitlement to compensation.
You further acknowledge that many creative works may share common ideas, themes, premises, structures, genres, settings, dialogue patterns, visual approaches, character archetypes, plot elements, or cinematic techniques.
You agree that PROOF and its affiliates shall not be held liable for claims arising from similarities between submitted materials and any past, present, or future projects independently created, developed, acquired, produced, distributed, financed, or otherwise exploited by PROOF or its affiliates.
PROOF understands that submitted materials may contain sensitive, proprietary, confidential, or unreleased creative concepts.
Submitted materials are used solely for evaluation, collaboration, development, and production purposes related to requested services.
While PROOF takes reasonable steps to handle submitted materials responsibly, clients acknowledge that digital communications, cloud storage systems, collaborative platforms, third-party software providers, artificial intelligence tools, and electronic file transfers inherently involve certain operational and security risks beyond PROOF’s direct control.
Except where expressly agreed in writing, submission of materials does not create a confidential, fiduciary, agency, partnership, employment, joint venture, management, or representation relationship between you and PROOF.
Payments for services are processed securely through third-party payment providers including Stripe.
All pricing, timelines, revisions, deliverables, and production schedules are project-specific and may vary depending on scope, creative complexity, collaboration requirements, client responsiveness, and production considerations.
Certain services may include structured collaborative feedback and revision rounds as described on the applicable service or product page.
Additional revisions, expanded scope requests, delayed client feedback, missed approvals, or major creative changes beyond the originally agreed direction may require additional fees, revised timelines, or updated production agreements.
Due to the custom, collaborative, and development-based nature of creative services, all sales are generally final once work has commenced.
PROOF may evaluate exceptional refund requests on a case-by-case basis at its sole discretion.
PROOF may communicate with clients through email, messaging platforms, collaborative software, video conferencing tools, phone calls, cloud-based production systems, or other communication systems during the development and production process.
Certain onboarding calls, creative consultations, development sessions, or collaborative meetings may be recorded, summarized, or transcribed for documentation, operational, quality assurance, alignment, educational, and project management purposes.
To the fullest extent permitted by law, PROOF, ProofLab, LLC, its affiliates, officers, employees, contractors, creative partners, licensors, collaborators, and associated entities shall not be liable for indirect, incidental, consequential, punitive, exemplary, special, reputational, or lost-profit damages arising from the use of the website, services, submitted materials, creative deliverables, development processes, or collaborative relationships.
This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, intellectual property claims, or otherwise.
These Terms and any disputes arising from the use of PROOF services or website shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located within the State of Georgia.
PROOF may update or revise these Terms at any time without prior notice. Continued use of the website or services after changes are posted constitutes acceptance of the revised Terms.
